TERMS OF USE

Praxar Inc. (“Praxar”) is dedicated to providing the best online business simulations to develop the skills of students and future managers, hereinafter referred to as “students”. To achieve this goal, Praxar strives to establish a constructive relationship with instructors, trainers and their assistants, hereafter referred to as “teachers”. Praxar’s digital assets consist of entrepreneurship, marketing, finance and accounting simulations, documents, exercises and services, commonly referred to as “simulations”. The following terms and conditions govern and apply to your use of or reliance on the site maintained by Praxar (the “Site”).

DISCLAIMER

By accessing Praxar.com and its simulations, teachers and students agree to abide by the terms and conditions of this Agreement. From time to time, Praxar may change its content. Changes will be effective upon posting. Continued use of the simulations through a Praxar account constitutes acceptance of the modified terms and conditions of the Agreement.

DISCLAIMER OF WARRANTY

Neither Praxar nor any of its licensees or distributors makes any representations or warranties concerning the Praxar simulations. The digital assets accessible through Praxar.com are provided “as is” and “as available”. To the fullest extent permitted by law, Praxar disclaims all warranties and conditions regarding whether its digital assets will be available or error-free or whether any information contained therein is accurate, complete or current. It is the teacher’s responsibility to evaluate the accuracy and completeness of all materials available on the Praxar site.

In no event shall Praxar be liable for any indirect, special, punitive or consequential damages. Praxar’s entire liability under this Agreement is limited to the amount paid by the student upon registration. Any liability under the Agreement is cumulative and not per incident.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply.

If you choose to subscribe to any services or features of the Site that require a subscription, you agree to provide accurate and current information about yourself as required by the applicable registration or subscription process, and to ensure its accuracy by making necessary updates as soon as possible.

You agree to maintain the confidentiality of any passwords or other account identifiers which you choose or are assigned at the time of registration or subscription on praxar.com or its partners and to accept responsibility for all activities that occur under such passwords or accounts.

You further agree to notify us of any unauthorized use of your password or membership account. We shall not be liable, directly or indirectly, for any loss or damage of any kind incurred as a result of, or in connection with, your failure to comply with this provision.

You acknowledge that we may, in our sole and absolute discretion, and without prior notice to you, suspend, cancel or terminate your account, your use of or access to the Site or any of its services, and remove and discard any information or content related to the Site or any of its services (and terminate your use of them), for any reason, including if we believe that you have violated these Terms.

You further agree that we shall not be liable to you or anyone else due to any such suspension, cancellation or termination. If you are dissatisfied with Praxar or any of its services, or with any of these terms, rules, policies, guidelines, or our practices relating to the operation of Praxar or any of its services, your sole remedy is to discontinue using the site or service in question.

Instructors – Praxar’s business simulation products are offered free of charge to qualified instructors. Trainers may also request a free registration for one or more assistants. To register for the first time or maintain their status, teachers may be required to demonstrate their ability to use the simulations for education and training purposes. Generally, being a faculty member of an educational institution guarantees registration.

Praxar reserves the right to determine which simulations teachers may access. In addition, Praxar may deny access to its digital assets, in whole or in part, if it believes they are being used in an unwarranted manner. Identifying information (username and password) may not be shared with other instructors or students or disclosed to third parties for any reason.

Students – Students must register individually for one version of a simulation. They usually make an individual payment before they have access to their simulation. In some cases, payment for licenses is made by a third party (college, university, company or other), but participants must still register individually.

Licenses that have not been activated on the Praxar website can be returned for a refund up to 2 months after purchase. Please email service@praxar.com with the relevant information about your purchase.

Praxar may deny access to its digital assets, in whole or in part, if it believes they are being used in an unwarranted manner. Identifying information (username and password) may not be shared with other students or disclosed to third parties for any reason.

ACCEPTABLE USE OF THE SITE

You agree not to use the Site for any unlawful purpose or any other purpose prohibited under this clause. You agree not to use the Site in any way that may adversely affect the Site, the services or Praxar’s business.

You also agree not to use the Site to:
(a) harass, abuse or threaten others or otherwise violate the rights of any person;
(b) infringe the intellectual property of Praxar or any other third party;
(c) upload or transmit computer viruses or any other software that may damage the property of Praxar or others;
(d) commit fraud;
(e) create or participate in any illegal gambling, lottery or pyramid scheme;
(f) publish or distribute obscene or defamatory material;
(g) publish or distribute any material that incites violence, hatred, or discrimination against any group; and/or
(h) unlawfully collect information about others.

OWNERSHIP OF DIGITAL ASSETS

Unless otherwise noted, all digital assets on the Praxar Site belong solely and exclusively to Praxar. Instructors and students are granted a limited license to use the simulations, which is non-exclusive, personal, revocable and non-transferable. Instructors and participants also agree not to use the simulations in any illegal or prohibited manner under this Agreement.

Instructors and students may download, print, or reformat the materials within the available sections, provided it is for educational purposes. In addition, instructors may distribute insubstantial portions of the digital resources to participants enrolled in their courses. Under no circumstances may any part of the simulations be distributed to individuals not registered on the Praxar site. In addition, instructors or students may not post digital assets to any website, newsgroup, mailing list, homework site, content aggregator, file storage service, or any other online destination.

AVAILABILITY OF SIMULATIONS

Praxar partners with reliable Internet service providers to provide users with access to the simulations 24 hours a day, seven days a week. In extreme circumstances beyond its control, Praxar may, with or without notice, have to restrict the use or accessibility of its Web site and the duration and amount of use of its Web site.

Praxar may change or discontinue any part, feature or content of its simulations at any time, with or without notice to trainers; however, Praxar will make reasonable efforts to notify trainers of significant changes to its simulations when possible and to provide alternative materials if substantial portions of the site are removed.

THIRD PARTY WEBSITES AND CONTENT

The Praxar Interactive Training Collection may include links to third-party websites. This inclusion does not imply that Praxar endorses the content of such websites, nor should Praxar be held responsible for any damages caused in connection with the content of such websites. Likewise, this inclusion does not imply that Praxar has received permission from the owners of the websites to include the links. Praxar is not responsible for the accessibility of third-party websites.

CONTENT UPLOADED BY THE TEACHER

To enhance the immersive learning experience for students, the Praxar Suite business simulations contain features that facilitate the exchange of messages and text between participants and instructors. The simulations can also allow instructors to upload their own content: documents, images, tests, etc. Praxar has no control over this content and does not claim ownership of it. Its responsibility is limited to providing trainers with the tools necessary to control this content. In cases where abuse is reported and the instructor takes no action, Praxar reserves the right to disable these features.

Teacher content will never be used for promotional purposes by Praxar or made available to third parties. Teachers should understand that Praxar may, under exceptional circumstances, be required by law to disclose any content from teachers on its servers. Instructor content remains on Praxar’s servers for the duration of a training session, typically one academic semester or up to one calendar year. After that, some material is archived, and some are destroyed. Read our Privacy Statement to learn more about this process.

SALE OF PRODUCTS OR SERVICES

We may sell goods or services. We are committed to being as accurate as possible concerning all information about goods and services, including product descriptions and product images. However, we do not guarantee the accuracy or reliability of any product information, and you acknowledge and agree that the purchase of such products is at your own risk.

REVERSE ENGINEERING AND SECURITY

You may not do any of the following:
(a) reverse engineer or disassemble any code or software on or from this Site
(b) violate or attempt to violate the security of the Site by any unauthorized access, circumvention of encryption or other security tools, data mining or interference with any host, user or network.

DATA LOSS

We are not responsible for the security of your user account or the contents of your account. Therefore, the use of the Site is at your own risk.

INDEMNIFICATION

You agree to defend, indemnify and hold Praxar and its affiliates harmless from any claim, suit or demand, including attorneys’ fees, that arises out of or relates to your use or misuse of the Site, your violation of this Agreement or your conduct and actions. If we choose to do so, we will select our attorney and participate in our defense.

SPAM POLICY

You are strictly prohibited from using the Site or any services offered on the Site for any illegal spam-related activities, including collecting addresses and personal information from others or sending mass commercial emails.

TERMINATION OF USER ACCOUNT

We may suspend, limit or terminate your user account and your use of the Site at our sole discretion, at any time, without notice and for any reason, including the operation or efficiency of the Site or any equipment or network owned by a third party that is interfered with by your use or misuse of the Site or us, or if you have been or are currently in violation of the terms hereof. We shall have no liability to any third party, including any third-party provider, for any suspension, limitation or termination of your access to the Site.

SUPPORT

Praxar understands that simulations and serious games require close contact with users. We are committed to providing trainers and participants with the best possible service. Praxar offers two levels of support:

Students – Praxar guarantees access to the simulations to all registered students. Many problems can occur during registration or afterwards: incorrect payment, forgotten password, etc. Please use our email address to report any such issues. Please identify yourself and your registration code before reporting your problem. We will respond promptly. service@praxar.com
